1. Acceptance of Terms
By accessing or using the website at codexdevware.com or engaging Codex Devware for services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.
2. Services
Codex Devware provides software development, mobile app development, web design, digital marketing, SEO and technology consulting services. The specific scope, deliverables, timeline and fees for each engagement are defined in a separate written proposal or statement of work ("SOW") agreed between both parties.
These Terms apply to all services unless a separate client agreement supersedes them.
3. Client Obligations
To enable us to deliver services effectively, you agree to:
- Provide accurate project requirements, content and materials in a timely manner
- Designate a point of contact authorised to make project decisions
- Review and provide feedback within agreed timeframes
- Pay invoices by the due dates specified in our proposal
Delays caused by failure to meet these obligations may affect project timelines without liability to Codex Devware.
4. Payment Terms
- Projects typically require a deposit (50% or as stated in the proposal) before work begins
- The remaining balance is due on completion or as per milestone schedule in the SOW
- Invoices are due within 14 days of issue unless otherwise agreed
- Late payments may incur interest at 1.5% per month on the outstanding balance
- We reserve the right to pause work on overdue accounts
5. Intellectual Property
On full payment, all custom-developed code, designs and content created specifically for your project are assigned to you. You receive full ownership including source files.
We retain the right to:
- Use open-source libraries and frameworks (which retain their own licences)
- Display completed work in our portfolio unless you request otherwise in writing
- Retain ownership of any pre-existing tools, templates or frameworks developed independently
6. Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement. We will sign a mutual NDA upon request before project discussions begin.
This obligation survives termination of the engagement for a period of three (3) years.
7. Revisions and Scope Changes
Each project includes a defined number of revision rounds as stated in the proposal. Additional revisions or changes to agreed scope may incur additional charges, which will be quoted and agreed in writing before proceeding.
8. Limitation of Liability
To the maximum extent permitted by law, Codex Devware's total liability for any claim arising from our services shall not exceed the total fees paid by you in the three months preceding the claim.
We are not liable for indirect, incidental or consequential damages including loss of profit, revenue or data.
9. Warranties
We warrant that services will be performed with reasonable skill and care. We do not warrant that software will be entirely free of defects or that it will meet every specific requirement not stated in the agreed SOW.
Third-party platforms, APIs and integrations are subject to their own terms and availability.
10. Termination
Either party may terminate a project engagement with 14 days written notice. On termination:
- You are liable for all work completed up to the termination date
- Deposits are non-refundable unless we are in material breach
- Work completed but unpaid remains the property of Codex Devware until payment is received
11. Governing Law
These Terms are governed by the laws of Bangladesh. Any disputes arising shall be subject to the jurisdiction of the courts of Chattogram, Bangladesh.
12. Changes to These Terms
We may update these Terms at any time. The "Last updated" date will reflect the most recent revision. Continued use of our services constitutes acceptance.
